These Terms of Use form a binding agreement between you and Equanimity Algo AI Technologies (“Equanimity”, “we”, “us”), an MSME enterprise registered in Rajasthan, India (Udyam Registration No. UDYAM-RJ-07-0151237). Please read them carefully together with our Privacy Policy, Refund & Cancellation Policy and Risk Disclosure.
1. Acceptance of these terms
By creating an account, accessing or using the Equanimity Algo AI platform, the EquanimityFX software, our website at equanimityalgoai.in or any related application (together, the “Services”), you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the Services.
2. About the Services
Equanimity Algo AI is a self-directed software platform that allows you to define rule-based trading strategies, backtest them on historical data, test them through paper trading, and, if you choose, send orders to your own account with a supported stock broker through that broker's official application programming interface (API). EquanimityFX is desktop software that applies risk and discipline controls to MetaTrader 5 accounts.
3. Nature of the Services — no investment advice
- Equanimity is a technology provider. We are not a stock broker, depository participant, SEBI-registered Investment Adviser, Research Analyst or Portfolio Manager.
- Nothing in the Services — including templates, examples, backtest results, scanner output, educational material or communications — is investment advice, a recommendation or an offer to buy or sell any security, derivative or commodity.
- Every strategy, parameter, risk limit and capital allocation is chosen by you. All trading decisions, and their consequences, are yours alone.
- We do not promise or guarantee any return, profit or protection from loss.
4. Eligibility
You may use the Services only if you are at least 18 years old and competent to contract under the Indian Contract Act, 1872. To trade live through Equanimity Algo AI you must hold your own trading account with a supported broker and be permitted by that broker to use its API. You are responsible for ensuring that your use of the Services is lawful in your place of residence.
5. Your account
- Provide accurate and complete information and keep it up to date.
- Keep your login credentials, one-time passwords and broker API credentials confidential. You are responsible for all activity under your account.
- An account is personal to one individual and may not be shared, sold or transferred.
- Notify us immediately at support@equanimityalgoai.in if you suspect unauthorised access.
6. Broker connections and order execution
- Orders are transmitted to your broker only on your instructions — either a manual order or a strategy you have configured and approved for execution.
- Your broker, not Equanimity, executes orders and is responsible for margins, order acceptance, fills, settlement, contract notes and your funds. Your relationship with your broker is governed by your agreement with that broker, including its API terms.
- We do not guarantee that any order will be placed, accepted or filled, or the price, speed or timing of execution. Broker or exchange outages, API rate limits, connectivity failures, market halts and price movements can delay, reject or alter orders.
- You must comply with all applicable laws, SEBI regulations and circulars (including the framework for retail participation in algorithmic trading), exchange rules and your broker's policies. We may restrict, tag, throttle or block orders where required by a broker, an exchange or the law.
7. Risk controls and their limits
The Services include risk controls such as mandatory stop-losses, daily loss limits, position limits, a kill switch and automatic intraday square-off. These tools are designed to reduce risk; they cannot eliminate it. They depend on market data, network connectivity, your device and third-party systems, and may not operate as expected in every circumstance. You remain responsible for monitoring your positions and your broker account at all times.
8. Backtests and paper trading
Backtest and paper-trading results are hypothetical. They are based on historical or simulated data and cannot fully reflect real-world conditions such as liquidity, slippage, partial fills, latency or the impact of your own orders. Past or simulated performance is not an indication of future results.
9. Subscriptions, fees and taxes
- Some features are available free of charge, subject to the limits shown in the Services. Other features require a paid subscription.
- Fees are charged in Indian Rupees and are subject to Goods and Services Tax (GST) at the applicable rate (currently 18%). A tax invoice is issued for each payment. If you provide a valid GSTIN, it will be shown on your invoice.
- Prices displayed at checkout apply to that purchase. We may change prices for future billing periods with prior notice.
- Cancellations and refunds are governed by our Refund & Cancellation Policy.
- Brokerage, exchange charges, statutory levies and taxes on your trades are charged by your broker and are separate from our fees.
10. Acceptable use
You agree not to:
- use the Services for any unlawful purpose, or for market manipulation, circular or synchronised trading, spoofing or any other abusive or fraudulent trading practice;
- share your account, resell or sublicense the Services, or operate them on behalf of other persons without our written agreement;
- copy, modify, reverse engineer, decompile or attempt to extract the source code of the Services, except as permitted by law;
- access the Services through automated means not provided by us, scrape data, or interfere with their security, integrity or performance;
- upload malicious code or attempt to gain unauthorised access to any system or data.
11. Intellectual property
The Services, including software, design, text, graphics and trademarks, belong to Equanimity or its licensors and are protected by law. We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Services in accordance with these Terms. The strategies and settings you create remain yours; you grant us the rights needed to store and process them solely to provide the Services to you.
12. Third-party services
The Services work with third-party services such as brokers, payment processors, app stores and cloud providers. Their use is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy or conduct of third-party services.
13. Availability and changes
We aim to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance, and we may add, change or withdraw features. Where a change materially reduces a paid feature you are using, we will give reasonable notice.
14. Disclaimer of warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
15. Limitation of liability
- To the maximum extent permitted by law, Equanimity is not liable for any trading losses, loss of profit, loss of opportunity, or any indirect, incidental, special or consequential loss arising from or related to your use of the Services.
- Our total aggregate liability for any claim relating to the Services is limited to the fees you paid to us for the Services in the three (3) months immediately before the event giving rise to the claim.
- Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
16. Indemnity
You agree to indemnify Equanimity against any claims, losses, penalties and reasonable costs arising from your breach of these Terms, your violation of any law or regulation, or your trading activity.
17. Suspension and termination
You may stop using the Services at any time and may delete your account from Settings → Delete Account in the application. We may suspend or terminate your access if you breach these Terms, if required by law, a regulator, an exchange or a broker, or to protect the Services or other users. Sections that by their nature should survive termination will continue to apply.
18. Governing law and disputes
These Terms are governed by the laws of India. Before starting any formal proceedings, please raise your concern through our grievance process (Section 20) so that we can try to resolve it. Subject to that, the courts of competent jurisdiction in Rajasthan, India shall have exclusive jurisdiction.
19. Changes to these terms
We may update these Terms from time to time. The effective date at the top of this page shows when they were last changed. For material changes, we will notify you through the Services or by email. Continued use of the Services after the effective date means you accept the updated Terms.
20. Contact and grievance redressal
For questions or grievances about the Services, write to support@equanimityalgoai.in with the subject “Grievance”, or use the contact form. We will acknowledge your grievance and work to resolve it promptly. For matters concerning a SEBI-registered intermediary such as your broker, you may also approach SEBI through the SCORES portal.
